Company: C3 Software Ltd (“Company”, “we”, “us”, “our”)
Product: WebsiteSpellChecker (“Service”)

These Affiliate Terms & Conditions (“Agreement”) govern participation in the WebsiteSpellChecker Affiliate Program (“Program”). By applying to or participating in the Program, you (“Affiliate”, “you”) agree to be bound by this Agreement.


1. Program Overview

The WebsiteSpellChecker Affiliate Program allows approved affiliates to earn commission by referring new customers to the Service using a unique tracking link provided by the Company.

Participation in the Program is subject to approval. We reserve the right to approve or reject any application at our sole discretion.

2. Affiliate Eligibility

You must:

  • Be at least 18 years old.
  • Provide accurate and complete information in your application.
  • Operate a legitimate website, social media channel, marketing platform, or agency.
  • Comply with all applicable laws and regulations.

The Company reserves the right to suspend or terminate affiliate accounts that provide false, misleading, or incomplete information.

3. Tracking & Attribution

Affiliates will receive a unique tracking link (e.g. /a/YOURCODE).

Referrals are tracked via cookies and internal attribution systems. Commission is only payable on:

  • Verified new customer accounts
  • Completed and successful paid transactions
  • Transactions not subject to refund, fraud, or chargeback

The Company’s tracking system is the sole determinant of referral attribution.

4. Commission Structure

Commission rates are determined at the time of affiliate approval and may vary by affiliate.

4.1 Year-one scan commission
We will pay a percentage (“%”) commission on qualifying scan spend for each referred organisation for the first twelve (12) months following that organisation’s initial sign-up date. Commission is earned only on actual money spent on scans, not on funds deposited.

4.2 Commission basis
Commission is calculated based on the net invoice value (excluding tax) and after any discounts and refunds.

4.3 Exclusions
Commission is not payable on:

  • Deposits or top-ups where no scan spend has occurred (commission is based on actual scan spend / invoiced usage).
  • Free trials, promotional credits, bonus credits, or goodwill credits.
  • Fraudulent transactions or suspicious activity.
  • Self-referrals (unless explicitly approved in writing).

The Company reserves the right to modify commission rates with reasonable notice.

5. Statements, Payment Timing & Minimum Payout

5.1 Monthly statements
Affiliate commission is calculated monthly based on closed invoice data and will be made available via a statement or other reporting mechanism.

5.2 Payment timing
Payments are made 90 days after the end of the statement month. This delay allows the Company to account for chargebacks, refunds, fraud prevention, and payment disputes.

Example: Commission earned in January will be paid at the end of April.

5.3 Minimum payout threshold
We will only issue payments when your approved, payable commission balance meets or exceeds the minimum payout threshold of £50 (GBP) (or the equivalent value in the currency of the statement, as determined by us). If the threshold is not met, the balance will roll forward to the next statement period(s) until the threshold is reached.

5.4 Offsets and adjustments
The Company reserves the right to withhold, reverse, or offset commissions against refunded, charged back, disputed, or fraudulent transactions, including applying such offsets to future commission balances.

5.5 Payment details
Affiliates are responsible for providing accurate payout details. We are not responsible for payments misdirected due to incorrect information provided by the Affiliate.

6. Marketing & Promotion Rules

Affiliates must promote WebsiteSpellChecker ethically and accurately.

Affiliates must not:

  • Use misleading, false, or deceptive claims.
  • Impersonate WebsiteSpellChecker or C3 Software Ltd.
  • Create fake review websites or impersonation pages.
  • Engage in spam (email, comments, DMs, automated outreach, etc.).
  • Bid on “WebsiteSpellChecker” branded keywords in paid advertising without written permission.
  • Use coupon or discount sites without approval.
  • Engage in self-referral or commission abuse.

Affiliates must clearly disclose their affiliate relationship in accordance with applicable advertising laws (including UK CAP/ASA guidance, FTC guidance, and similar regulations).

7. VAT & Tax Handling

7.1 VAT on commissions
Affiliate commissions are treated as a supply of marketing/introducer services by the Affiliate to the Company. If you are VAT-registered (or registered for an equivalent sales tax), you may be required to provide a valid VAT number and issue an invoice for commission payments where applicable.

7.2 Place of supply and reverse charge
Where applicable (for example, B2B cross-border services), VAT may be accounted for under the reverse charge mechanism or other local rules. We will handle VAT reporting on our side where required by law, based on the information you provide.

7.3 Your responsibility
You are responsible for determining and meeting your own tax obligations (including VAT/sales tax and income/corporation tax) arising from affiliate commission payments. We do not provide tax advice.

7.4 Withholding / compliance
We reserve the right to request additional tax information where required and to withhold payments where legally necessary or where required information is not provided.

8. Intellectual Property

Affiliates may use approved logos, brand assets, and marketing materials provided by the Company.

Affiliates may not:

  • Modify logos without permission.
  • Register domains confusingly similar to WebsiteSpellChecker.
  • Use brand assets in a misleading, defamatory, or deceptive manner.

All intellectual property rights remain the exclusive property of C3 Software Ltd.

9. Termination

The Company may suspend or terminate an affiliate account at any time, including (but not limited to):

  • Breach of these terms.
  • Fraudulent or suspicious activity.
  • Reputational harm to the Company.

Upon termination:

  • Unpaid commissions related to fraudulent or policy-violating activity will be forfeited.
  • Legitimate earned commissions may be paid subject to the 90-day delay period, minimum payout threshold, and any required compliance checks.

10. Limitation of Liability

The Company shall not be liable for indirect or consequential damages, loss of revenue, profits, or goodwill. We are not responsible for tracking errors caused by browser restrictions, ad blockers, or user privacy settings.

The Company does not guarantee any level of income or performance.

11. Independent Contractor Relationship

Affiliates are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Affiliates are responsible for their own taxes and regulatory obligations.

12. Amendments

The Company reserves the right to modify these terms at any time. Continued participation in the Program after updates constitutes acceptance of the revised terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
